Terms of Service

What this is

Proofpane (the "Service") is provided by Louie Lunz (Auckland, New Zealand). By creating an account or signing in, you agree to these Terms.

The Service is in active early-stage development. APIs and UI may change. Outages happen. Read the limitations below before relying on it for anything time-critical.

Your account

  • You are responsible for the security of your account and any actions taken under it (including agent runs and HITL approvals).
  • You are responsible for any LLM API keys you configure and the spend they incur. The product has a per-org budget gate; use it.
  • One account per person. Sharing logins is not allowed — it breaks the audit chain attribution that the product exists to produce.

Acceptable use

You agree not to use the Service to:

  • Process content that is illegal under New Zealand law or the jurisdiction in which you operate (CSAM, targeted harassment, fraud, etc.).
  • Attempt to circumvent the policy gate, audit chain, HITL approvals, or sandbox isolation. The whole point of the product is that these hold; trying to break them is grounds for account termination.
  • Resell the Service, repackage it as your own offering, or scrape it for derivative product training, without a written agreement.
  • Use the Service to generate or distribute content that violates the LLM provider's own usage policies (Anthropic, OpenAI, Google). Violations there get the key revoked, which breaks your account anyway.

Your content

You retain ownership of everything you submit. We do not claim a licence to your content beyond what is operationally necessary to provide the Service (store it, display it back to you, send it to the LLM provider you configured for that call, include it in the audit chain you can export at any time).

We do not use your content to train any model. We have no model of our own to train.

The Evidence Pack and compliance claims

The Evidence Pack export is what it says it is: a signed slice of the audit log with a manifest, plus the compliance framework mappings configured for your org at export time. It is a record of what happened, not a compliance certification.

We do not warrant that running through Proofpane makes you compliant with NIST AI RMF, ISO 42001, EU AI Act, or any other framework. Those are obligations on you and your auditor. The product makes the evidence side tractable; the obligation side stays yours.

No warranty

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties — implied or otherwise — including merchantability, fitness for a particular purpose, and non-infringement.

You are responsible for evaluating whether the Service fits your use case. Don't run it as the sole gate in front of an irreversible decision without a separate human check.

Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) NZD 100.

We are not liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, or business interruption.

Termination

You can stop using the Service and request account deletion at any time (see the Privacy Policy for how).

We can suspend or terminate accounts that violate these Terms, the LLM providers' policies, or that pose a security risk to other tenants. Where reasonably possible we'll give notice and a chance to export your data first.

Governing law

These Terms are governed by the laws of New Zealand. Any dispute is subject to the exclusive jurisdiction of the New Zealand courts.

Changes to these terms

When this page changes, the date at the top is bumped. Material changes are surfaced inside the product on your next sign-in. Continued use after that date counts as acceptance.
